1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of the website located at vistamedia.ai and all services provided by Vista Media (“Vista Media,” “we,” “our,” or “us”). By accessing our website, submitting an inquiry, or booking a service, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our website or services. We reserve the right to update these Terms at any time. Continued use of our services after changes constitutes your acceptance of the revised Terms.

2. Services

Vista Media provides professional real estate media services to licensed real estate agents, brokerages, and property owners in the Washington DC, Maryland, and Virginia (DMV) metropolitan area. Our current service offerings include:

• HDR real estate photography (interior, exterior, and twilight)
• Cinematic property videography and listing video tours
• FAA Part 107 certified drone photography and aerial videography
• Matterport 3D virtual tours
• Floor plan drawings (2D)
• Packaged media bundles (Launch, Vista, Social Boost, and Prestige tiers)

Service availability, turnaround times, and deliverable specifications are described on our website and may be updated from time to time. Specific details confirmed at the time of booking govern the services you will receive.

3. Booking and Payment

3.1 Scheduling

Bookings are placed through our online booking platform. A booking is confirmed once you receive a written or electronic confirmation from Vista Media. By booking a service, you represent that you have the authority to authorize media production at the property and to grant the rights described in these Terms.

3.2 Pricing

Current package pricing is published on our website. All prices are in US dollars. Prices are subject to change at any time; the price confirmed at booking will be honored for that shoot. Additional services requested on the day of the shoot are subject to standard pricing and availability.

3.3 Payment Terms

Payment is due per the terms specified during the booking process. Delivered media files remain watermarked or access-restricted until payment is received in full. Vista Media reserves the right to withhold final deliverables until payment is confirmed. In the event of a dispute, the parties agree to attempt to resolve the matter directly before pursuing other remedies.

4. Deliverables and Media Licensing

4.1 Deliverable Specifications

Following a completed shoot, Vista Media will deliver edited photo files, video files, 3D tour links, and/or floor plan drawings as specified in your confirmed booking. Standard delivery is within 24 hours for photography and 48 hours for videography, measured from the time of the shoot. Delivery timelines are targets, not guarantees, and may be affected by weather, scheduling, or technical factors outside our control.

4.2 License Granted to Client

Upon receipt of full payment, Vista Media grants you a non-exclusive, non-transferable license to use the delivered media for the following purposes:

• Marketing and advertising the specific property depicted in the media on MLS platforms, real estate portals, social media, and your personal professional portfolio.
• Providing copies of the media to the property seller or their representatives solely for personal use related to the sale or marketing of the property.
• Printing and displaying the media in connection with the listing.

4.3 Retained Copyright

Vista Media retains full copyright ownership of all photographs, videos, 3D tour content, and other media we create. The license described above does not transfer copyright to you. You may not sublicense, sell, or transfer media to third parties other than as described above without our prior written consent.

4.4 Vista Media Portfolio Rights

Vista Media reserves the right to use any media created under these Terms for our own portfolio, marketing, advertising, social media, and promotional materials. If you have specific confidentiality requirements, please notify us in writing before the shoot and we will discuss reasonable accommodations.

5. Promotional Offers and Discount Codes

From time to time, Vista Media offers promotional discounts to new and existing clients. The following terms apply to all promotional offers:

• Discount codes are valid for a single use only and expire as stated in the promotional communication.
• Promotional discounts are capped at a maximum of 15% off the applicable service package price.
• Discount codes may not be combined with any other offer, promotion, or discount.
• Discount codes have no cash value and cannot be refunded, exchanged, or applied retroactively to completed bookings.
• Promotional offers are subject to availability and may be withdrawn or modified by Vista Media at any time without notice.
• Vista Media reserves the right to verify eligibility for any promotional offer and to decline or revoke a discount in cases of suspected misuse.

6. Cancellations and Rescheduling

6.1 Client-Initiated Cancellations

You may cancel or reschedule a booking without penalty if you provide at least 24 hours’ notice before the scheduled shoot time. Cancellations made with less than 24 hours’ notice may be subject to a cancellation fee, which will be communicated to you at the time of booking.

6.2 Weather-Related Rescheduling

Drone operations are weather-dependent and subject to FAA and safety regulations (see Section 7). If weather conditions prevent drone work or significantly compromise exterior photography quality, Vista Media may reschedule the affected portion of a shoot at no additional charge. We will communicate any weather-related changes as early as possible.

6.3 Vista Media Cancellations

In rare circumstances, Vista Media may need to cancel a confirmed booking due to illness, equipment failure, or other unforeseen events. In such cases, we will provide as much advance notice as possible and offer to reschedule at the earliest available opportunity at no charge.

7. Drone Operations

7.1 FAA Part 107 Compliance

All drone operations performed by Vista Media are conducted by FAA Part 107 certified remote pilots. We are committed to full compliance with applicable Federal Aviation Administration regulations, including airspace authorizations, operational limitations, and safety requirements.

7.2 Weather and Conditions

Drone flights are subject to weather conditions, including wind speed, precipitation, visibility, and temperature thresholds. Vista Media pilots have sole discretion to cancel or delay drone flights when conditions do not meet safety or quality standards. No penalty or fee will apply to weather-related drone cancellations.

7.3 Restricted Airspace

The DC, Maryland, and Virginia area contains numerous restricted, prohibited, and special use airspace zones, including areas near Reagan National Airport, Joint Base Andrews, and the Washington DC Flight Restricted Zone. Vista Media will assess airspace eligibility prior to each shoot and obtain required authorizations where available. If a property falls within airspace that cannot be legally flown, aerial media will not be captured and the booking will be adjusted accordingly.

7.4 Client Responsibilities

By booking drone services, you confirm that you have obtained any required property owner consent and that, to the best of your knowledge, no local ordinances or HOA restrictions prohibit drone operations at the property. Vista Media is not responsible for HOA-level restrictions not disclosed at the time of booking.

8. Client Responsibilities

You agree to the following in connection with your booking:

• The property will be clean, staged, and ready for photography at the scheduled shoot time. Vista Media does not provide staging services and is not responsible for the appearance of unprepped properties.
• You have obtained all necessary permissions from property owners, occupants, and HOAs as required.
• You will not use the delivered media in a manner that violates applicable law, infringes third-party rights, or constitutes misleading advertising.
• You are responsible for ensuring the accuracy of the property information provided at the time of booking.

9. Intellectual Property

All content on the Vista Media website — including text, graphics, logos, images, and software — is the property of Vista Media and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from website content without our express written permission.

The Vista Media name, logo, and brand assets are proprietary. Nothing in these Terms grants you a license to use our trademarks or branding.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Vista Media’s total liability to you for any claim arising out of or related to our services or these Terms shall not exceed the amount you paid for the specific service giving rise to the claim.

In no event shall Vista Media be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Vista Media makes no warranty that our services will meet your specific requirements or that media delivered will achieve any particular commercial outcome, including property sale price, days on market, or volume of buyer inquiries. Real estate outcomes depend on many factors beyond media quality.

11. Indemnification

You agree to indemnify and hold harmless Vista Media, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from: (a) your use of delivered media in violation of these Terms; (b) your breach of any representation or warranty in these Terms; or (c) your violation of any applicable law in connection with the services.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Vista Media is based in Bethesda, Montgomery County, Maryland.

Any dispute arising out of or relating to these Terms or our services that cannot be resolved informally shall be submitted to binding arbitration in Montgomery County, Maryland, under the rules of the American Arbitration Association. You waive the right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

13. Disclaimer of Warranties

Our website and services are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

14. Changes to These Terms

We may update these Terms of Service at any time. When we do, we will revise the “Last updated” date at the top of this page. Material changes will be communicated through the website. Your continued use of our services after any changes constitutes acceptance of the revised Terms. If you do not agree with revised Terms, please discontinue use of our services.
